This paper will provide an overview of certain of the key risk or substantive issues that arise in negotiation of commercial contracts.  Areas covered will include risk allocation clauses: insurance, liability and indemnity, taxation considerations relevant to contracting, basics of contract construction, contract negotiation techniques and selected issues in boilerplate terms and clauses.
